The "www.groupeeklozion.com" website (hereinafter the "Website") is published by EKLOZION, a simplified joint-stock company with a sole shareholder and a share capital of €150, registered in the Trade and Companies Register (RCS) of Versailles under 834 234 619, whose registered office is located at 62, boulevard Jean Jaurès in Chatou (78400), France.
EKLOZION provides financial analysis, financial consulting and training in financial and non-financial matters to individuals and professionals (hereinafter referred to as the "Services").

 

The Services offered are those described on the Website, it being specified that this description indicates their basic characteristics.

 

The Services are charged and payable through the Website.

 

Article 1 - Enforceability of the Terms and Conditions of Sale

All orders for Services placed on the Website are subject to these General Terms and Conditions of Sale (hereinafter referred to as the "T&Cs"). EKLOZION reserves the right to adapt or amend these Terms and Conditions at any time; the version of T&Cs applicable to any transaction is the one displayed online on the Website at the time of the order, which shall be stored and reproduced by EKLOZION in accordance with Article 1127-2 of the French Civil Code.

The T&Cs are enforceable against the User, who acknowledges to have read and expressly accepted them before placing any order, by ticking a box provided for this purpose and indicating the following: "I have read and accept the General Terms and Conditions of Sale, the General Terms and Conditions of Use, and the Privacy Policy of EKLOZION".

 

Article 2 - The order, the purchase of Services and the contract

2.1. Steps of the order

Order intake on the Website is subject to compliance with the procedure set up by EKLOZION, which is finalised by a series of steps that the User must necessarily follow to confirm his or her order.

To place an order, the User must first add the chosen Service(s) to his or her virtual shopping basket, then click on the "Order" button and provide his or her payment information.

Before clicking on the "Confirm Order" button, the User will be able to check the details of the order and the total price, and to correct any errors or change the order, before confirming it to indicate his or her acceptance.

To finalise his or her order, the User must:

• read these T&Cs and explicitly agree to them by ticking the box: "I have read and accept the General Terms and Conditions of Sale, the General Terms and Conditions of Use, and the Privacy Policy of EKLOZION";

• confirm the order after checking it;

• choose the payment method;

• pay the amount of the order by clicking on the "Proceed to payment" button giving access to the secure payment of his or her order.

Any order confirmed by the User constitutes a contract of sale and acceptance of all the provisions set forth in the T&Cs.

EKLOZION will send a confirmation email with an order summary to the User. To this end, the User formally accepts the use of electronic mail for confirmation by EKLOZION of the content of his or her order.

Invoices are sent by email.

2.2 Changing the order

Any change made by the User to his or her order is subject to prior acceptance by EKLOZION.

2.3 Refusing the order

EKLOZION reserves the right to refuse any Order for a legitimate reason, in particular in the event of payment difficulties or difficulties related to the provision of incomplete and/or inaccurate information by the User.

2.4. Storage and proof of contract

Communications, purchase orders and invoices are stored on a reliable and durable medium in order to provide a faithful and durable copy. Communications, purchase orders and invoices may be produced as proof of the contract.

 

Article 3 - Price and payment terms

3.1. Price

The price of selling the Services is indicated in euros, all taxes included.

EKLOZION reserves the right to change its prices at any time, but the Services will be invoiced based on the rates applicable upon placing the order.

3.2. Payment

The price is due in full after confirmation of the order.

Payment for purchases is made by:
• Credit card
The User has access to a dedicated space provided by a banking institution, which ensures the security and registration of the payment order.

In case of payment by credit card, the full price is debited as soon as the order is confirmed, after entering the bank details.

The User guarantees that he or she has full capacity and is entitled to use the payment card to settle the Services via the secure payment platform and that he or she has sufficient funds on the account to be debited. In the event that payment of the price is incomplete or non-existent, for a reason attributable to the User, the order will be automatically cancelled and any resulting costs will be borne by the User.

The online disclosure of the credit card number and the final order confirmation shall be equivalent to signing and expressly accepting all transactions performed on the Website and cause the sums incurred for the order to become due and payable.

All transactions made on the Website are secure. The User's banking information is encrypted by the SSL (Secure Socket Layer) system, after which it is processed by the financial partner of EKLOZION.

 

Article 4 - Service delivery time

As from the order confirmation, EKLOZION has a period of:

• 24 hours to deliver the content ordered by the User with respect to training courses;
• 12 calendar days to deliver the content ordered by the User for other services, except those that would require a longer provision period, in which case the User will be informed thereof.

EKLOZION may not be held liable if the non-performance or delayed performance of an obligation results from a case of force majeure (in particular in the event of natural disasters, fires, internal or external strikes, internal or external failure or breakdowns) or from an unforeseeable and insurmountable act by a third party.

 

Article 5 - No right of withdrawal

In accordance with the provisions of Article L. 221-28 of the French Consumer Code, the right of withdrawal may not be exercised by the User (consumer) of the Services, since the Services are performed in full before the end of the withdrawal period and this performance begins before the withdrawal period has expired; moreover, the services involve the provision of digital data not provided in material form, and such provision likewise begins before the withdrawal period has expired, i.e. before the end of the 14-day period laid down in the French Consumer Code.

By accepting these terms and conditions, the User expressly agrees to waive his or her right of withdrawal. Therefore, no request for withdrawal, cancellation and/or reimbursement will be accepted for any order of Service(s).

 

Article 6 - Intellectual property rights of EKLOZION to the content provided as part of the Services

All documents and media provided to the User as part of the Services remain the property of EKLOZION, which alone holds the intellectual property rights attached thereto. The User thus agrees not to reproduce, adapt, modify, translate, represent, market or distribute to third parties said documents and media directly or indirectly, in whole or in part, without the express, prior and written consent of EKLOZION.

 

Article 7 - Donation to an association

EKLOZION has established a partnership with non-profit associations to offer Users the opportunity to make donations of at least €1 to partner associations when shopping online on the Website.

When the donation service is active on the Website, any User is automatically given the opportunity to make a donation to one of the partner associations at the time of confirming his or her order, and before payment.
To give the User freedom of choice, all useful information concerning the various associations and their projects is available to the User on the Website.

The User is free to accept or refuse the donation proposal made to him or her and to choose the donation amount and association that will receive it.
Once the donation has been confirmed, the amount is added to the User's initial order and the total order and donation payment is made in accordance with the conditions set out in the T&Cs and by the Website.
EKLOZION shall transfer the donations thus collected in full to the partner associations.
The partner association will send the corresponding tax receipt directly to the User.

 

Article 8 - Personal data

The terms and conditions of use of the User's personal data and the terms and conditions for exercising his or her rights in this regard are set out in the "Privacy Policy" available at this link Privacy Policy.

 

Article 9 - Customer service

The Website's customer service can be contacted by our contact form or by post at the address indicated in the Website's legal notice.
EKLOZION also provides its Users with a helpline that can be reached by telephone at 07 81 65 93 38 (no additional charge).

 

Article 10 - Partial invalidity

If one or more provisions of the T&Cs are held to be invalid or declared invalid pursuant to a law, regulation or following a final decision of a competent court, the other provisions shall retain their full force and scope.

 

Article 11 - Questions, claims and litigation

In the event of a dispute, the User (consumer) must first contact the customer service by our contact form or by post at the address indicated in the legal notices on the Website.
Should the claim submitted to the customer service be refused, or failing a response from the said service within 2 (two) months, the User (consumer) may submit the dispute relating to his or her order or to the T&Cs he or she wishes to enforce against EKLOZION to the Mediation and Arbitration Centre of the Paris Chamber of Commerce and Industry (CMAP) via the CMAP online form available at the following address: www.cmap.fr/offre/un-consommateur/ or by sending an email to the following address: This email address is being protected from spambots. The mediator shall endeavour, impartially and free from any influence, to bring the parties together with a view to reaching an amicable solution.

The parties remain free to accept or refuse the use of mediation and, in the event of mediation, to accept or refuse the solution proposed by the mediator.

 

Article 12 - Applicable law and competent jurisdiction

The sales contract resulting from each order and the T&Cs governing it are subject to French law.

Failing an amicable agreement under the conditions of Article 11, any dispute relating to the existence, interpretation, conclusion, execution or termination of the contract shall fall within the non-exclusive jurisdiction of the competent courts of the Paris Court of Appeal.
